TERMS OF BUSINESS
2026 Terms of Business
1. About these terms
These Terms of Business apply to advisory, coaching, mentoring and consultancy services, and to digital courses, toolkits and learning resources supplied by John Beavis Associates Ltd under the brand John Beavis | Leadership & Performance.
Our services include Private Advisory, Perform Under Pressure, Coaching for Captains® and The Bridge.
In these terms, “we”, “us” and “our” mean John Beavis Associates Ltd. “You” and “your” mean the individual or organisation purchasing our services or digital content.
Company name: John Beavis Associates Ltd
Company registration number: 09801439
VAT registration number: 228703996
Registered in: England Wales
A “business customer” purchases wholly or mainly for purposes connected with their trade, business, craft or profession. A “consumer” is an individual purchasing wholly or mainly outside those purposes. Your status depends on the circumstances of your purchase.
2. Your agreement with us
Before an advisory, coaching or consultancy engagement begins, we will agree its scope, fees, duration and delivery arrangements in writing. These may be recorded in a proposal, engagement letter or client agreement.
For digital purchases, the relevant product description and order confirmation identify what you are purchasing, the price and the access period.
A contract is formed when both parties accept an engagement in writing, or when we send an order confirmation accepting your digital purchase. An automated acknowledgement of an enquiry does not itself create a contract.
These terms form part of that contract. If an expressly agreed provision in your engagement letter or client agreement conflicts with these terms, that provision takes priority, subject to applicable law.
“Writing” includes email. Visiting our website alone does not amount to acceptance of a paid engagement.
Changes to an existing engagement must be agreed in writing. Updated website terms do not retrospectively change an existing contract without your agreement.
3. Scope and delivery
We will provide our services with reasonable care and skill, in accordance with the agreed scope.
The engagement will specify, where relevant:
Its objectives and duration.
The number, length and frequency of sessions.
Whether delivery is remote or in person.
Any support available between sessions.
Included courses, resources or assessments.
Fees, payment arrangements and agreed expenses.
Arrangements for rescheduling, cancellation and termination.
Support between sessions is limited to what we expressly agree. Reactive access, document review, travel and additional meetings are included only where specified.
We may combine coaching, mentoring and advisory approaches according to the purpose of the engagement and your circumstances.
Our work supports your judgement and development. You remain responsible for your decisions, actions and professional responsibilities. We do not guarantee a particular commercial, career, operational or personal outcome.
Our services do not replace medical care, psychological treatment or regulated legal, financial or other specialist advice. Where appropriate, we may recommend that you consult a suitably qualified professional.
Any material extension of the scope requires a separate written agreement.
4. Your participation
You agree to provide information reasonably needed for the engagement, attend agreed sessions and communicate promptly about changes affecting delivery.
You are responsible for deciding what information you are authorised to share. Please avoid disclosing unnecessary personal information about colleagues or confidential information belonging to others.
For remote sessions and digital learning, you are responsible for providing a suitable device, internet connection and reasonably private environment.
If you purchase on behalf of an organisation, you confirm that you are authorised to do so. We will distinguish the purchasing organisation’s role from the individual participant’s confidential relationship with us.
5. Fees, payment and expenses
Services and digital content are supplied and invoiced by John Beavis Associates Ltd, company registration number 09801439. Our VAT registration number is 228703996.
The applicable fees and payment arrangements will be confirmed before you enter into the contract.
For advisory, coaching, mentoring and consultancy engagements, payment must be received in full before the engagement begins, unless an alternative payment schedule is expressly agreed in writing. Where instalments are agreed, each instalment must be received before the period of support it covers. We are not obliged to begin delivery until the required payment has cleared.
Digital purchases are payable in full at checkout unless we expressly agree otherwise in writing.
Consumer prices include applicable VAT and other unavoidable charges. Business quotations will clearly state whether VAT is included or payable in addition.
Travel, accommodation and other additional expenses require your prior written approval. We will explain the anticipated costs or agree a budget before incurring them. Payment arrangements for approved expenses will be confirmed in writing.
We will not increase an agreed fixed fee during an engagement without your agreement, except where a change in applicable tax must legally be reflected in the amount payable.
If a payment is overdue, we will contact you and provide reasonable notice before suspending ongoing delivery or access. If you dispute an invoice in good faith, please explain the dispute promptly; any undisputed amount remains payable in accordance with the agreed payment arrangements.
For overdue business invoices, we may charge interest and recovery costs where permitted by applicable law. This provision does not apply to consumer purchases.
6. Rescheduling, cancellation and ending an engagement
Any specific rescheduling, cancellation or termination arrangements expressly agreed in your client agreement will take priority over this section, subject to your statutory rights.
Cancelling an individual session
Cancellation must be communicated by email to john@johnbeavis.com. Notice is measured in calendar days between receipt of your cancellation and the scheduled start of the session.
Unless otherwise agreed in writing, the following cancellation charges apply. Cancellation charge: 30 calendar days or more, no charge. 15 to 29 calendar days, 50% of the session fee. 6 to 14 calendar days, 25% of the session fee. Less than 5 calendar days, including non-attendance. 100% of the fee.
These percentages apply to the cancelled session’s fee, not automatically to the whole engagement.
Where sessions form part of a package, the fee attributable to each session will be identified in the engagement agreement or otherwise agreed in writing before booking. A cancellation charge will not be calculated by treating separately supplied digital content or other support as part of a session fee.
We will take reasonable steps to reduce losses arising from cancellation and account for relevant costs saved or replacement bookings. A cancellation charge will be reduced where necessary to avoid recovery exceeding our reasonable net loss.
Where you have paid in advance, any applicable cancellation charge may be deducted from the amount attributable to the cancelled session, with the remaining balance refunded. We will not charge twice for the same loss.
These charges do not override statutory consumer cancellation rights, including those described in section 9.
Rescheduling an individual session
Please give as much notice as possible if you need to change a session. We will make reasonable efforts to agree an alternative date within the engagement period.
A request to reschedule does not itself cancel or replace the original booking. We will confirm the revised arrangements and any applicable charge in writing before you accept them.
If we agree to transfer the booking without a cancellation charge, we will confirm this in writing.
If we need to reschedule a session, we will offer a reasonable alternative without an additional fee. If no reasonable alternative can be agreed, we will refund the amount attributable to that session.
Ending an engagement
Any minimum engagement period and agreed termination arrangements will be stated in your client agreement.
Where no specific termination arrangement has been agreed, you may end an engagement by email. You remain responsible for services already supplied and any reasonable, demonstrable net loss arising from termination, including properly incurred, non-recoverable commitments.
We will account for costs saved and replacement work that reduces our loss. Charges for cancelled sessions and other termination charges will not overlap or result in double recovery.
We will explain the calculation and refund any advance payment exceeding the amount properly due. We will not automatically retain the whole remaining engagement fee simply because you end the relationship early.
We may end or suspend an engagement where continuing would be unlawful, unsafe, outside our professional competence, or affected by serious misconduct or a material breach of the agreement. Where appropriate, we will explain the concern and allow a reasonable opportunity to resolve it.
If we end an engagement for reasons other than your breach, we will refund payments for services not supplied. Other rights and remedies available to you remain unaffected.
7. Confidentiality
We treat the content of advisory and coaching conversations, and information supplied in connection with them, as confidential.
We will not disclose that content to an employer, sponsor or other third party without your permission, except where disclosure is required or permitted by applicable law or is necessary to address a serious risk of harm.
Where an organisation funds an engagement, we will agree at the outset what administrative information, objectives or progress information may be shared. Funding does not give the organisation automatic access to session content or coaching notes.
We may discuss our professional practice in supervision, using anonymised information wherever practicable and appropriate confidentiality safeguards.
Any necessary disclosure will be limited to what is reasonably required.
You must also protect confidential business information we share with you, other than information already lawfully public or disclosure required by law.
Neither party may record a session without the other’s express prior agreement.
We will seek permission before using a client’s name, logo or testimonial publicly.
8. The Bridge and other digital learning
Your purchase gives you access to the course, series or resources described at the time of purchase.
Unless the product description states otherwise, paid access lasts for 12 months from the date access is first made available. The start date and access period will be confirmed with your purchase.
A course purchase includes one learner account unless an organisational or multi-user licence is expressly agreed. Please keep your login details secure and do not share access.
Self-paced courses do not include individual coaching, bespoke advice, assessment or certification unless expressly stated.
Any essential technical requirements, compatibility restrictions and material access limitations will be explained before purchase. Please contact us beforehand if you are unsure whether the content will work with your equipment or meet a particular need.
We may make reasonable updates to improve accuracy, accessibility, security or functionality. We will not materially reduce the content or access you purchased without providing an appropriate remedy.
Access may occasionally be interrupted by maintenance or technical problems. If a significant interruption attributable to us prevents you using paid content, we will seek to restore access and provide an appropriate remedy, which may include an access extension or refund.
Expiry of platform access does not require you to delete resources expressly provided for download. Those resources remain subject to the permitted-use conditions below.
Nothing in this section limits your statutory rights concerning faulty, unavailable or misdescribed digital content or services.
9. Consumer cancellation rights
If you purchase as a consumer online, by telephone or otherwise at a distance, you will normally have a legal right to cancel within 14 days after the contract is made, subject to applicable exceptions.
To cancel, email john@johnbeavis.com with a clear statement of your decision.
Services starting during the cancellation period
We will start supplying a service during the 14-day cancellation period only at your express request.
If you then exercise your cancellation right, you may have to pay a proportionate amount for the service supplied before you told us you were cancelling, but only where the legal conditions for that payment have been met.
Your cancellation right is lost following full performance of the service during that period only where you expressly requested early performance and acknowledged beforehand that your cancellation right would be lost once the service was fully performed.
Digital content supplied during the cancellation period
If you want immediate access to digital content, we will ask for your express consent to begin supply during the cancellation period and your acknowledgement that you will lose your cancellation right once supply begins.
We will confirm that consent and acknowledgement in a form you can retain.
Purchasing digital content, accepting these terms or logging in does not, by itself, replace the consent and acknowledgement required by law.
If those requirements have not been met, your statutory cancellation rights remain unaffected.
Refunds following cancellation
Where a refund is due following exercise of a statutory cancellation right, we will make it within 14 days of being informed of your decision, using the original payment method unless you expressly agree otherwise. We will not charge a refund fee.
These provisions do not remove your rights if content or services are faulty, misdescribed or otherwise fail to meet applicable legal requirements. Any additional mandatory rights under the law applicable to your purchase remain available.
10. Intellectual property and permitted use
We or our licensors retain ownership of the courses, videos, toolkits, written resources and other materials we supply.
Subject to payment, you receive a non-exclusive licence to use the purchased materials for your own learning and professional development during the applicable access period. Resources expressly supplied for download may be retained for your own use.
You may apply the knowledge, skills and approaches you develop in your leadership and work with your team.
However, unless we give written permission or applicable law permits it, you must not:
Share learner accounts or provide others with access to paid content.
Reproduce or distribute our videos, courses or toolkits.
Sell, sublicense or publish our materials.
Use our materials to deliver a commercial training or coaching product.
Remove copyright or ownership notices.
Any broader organisational use or distribution of materials requires an agreed licence.
You retain ownership of information and materials you provide. We may use them only as reasonably necessary to deliver the agreed work and meet our legal obligations.
11. Personal information
We handle personal information in accordance with applicable data-protection law and our Privacy Policy, available at www.johnbeavis.com/privacy-policy.
The policy explains the information we process, our purposes and lawful bases, retention arrangements, relevant sharing and your rights.
Agreeing to these terms does not constitute consent to unrelated marketing or unrestricted use of your personal information.
12. Responsibility and liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Consumers
We do not exclude or restrict your statutory rights concerning services or digital content. Any remedy required by applicable consumer law remains available.
Business customers
Subject to the exclusions from limitation stated above, and any different liability provision expressly agreed in writing, our total liability arising from or connected with an engagement or digital purchase is limited to the total fees paid or payable under that engagement or purchase.
For business customers, we are not liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings or business opportunity, to the extent that these exclusions are permitted by law.
These provisions do not make you responsible for losses caused by our own negligence or breach beyond any responsibility you otherwise have under applicable law.
13. Events outside our reasonable control
Neither party is responsible for delay or failure caused by events genuinely outside its reasonable control, provided it takes reasonable steps to reduce the effects and informs the other party promptly.
We will discuss reasonable alternatives, including rescheduling or remote delivery where suitable.
If the affected service cannot be delivered within a reasonable period, either party may end the affected part of the agreement. Payments for services or content not supplied will be refunded, subject to any lawful amount due for work already completed.
This section does not remove consumer rights or permit us to retain payment for services we will not provide.
14. Questions and complaints
Please contact john@johnbeavis.com if you have a concern about an engagement, purchase or these terms.
Please describe the issue, provide the relevant order or engagement details and explain the resolution you are seeking.
We will acknowledge your complaint and investigate it fairly, keeping you informed of the proposed next steps.
We will seek to resolve disputes through discussion. Mediation may be used where both parties agree. You are not required by these terms to submit a dispute to binding arbitration.
15. Governing law and general provisions
These terms and the relevant contract are governed by the law of England and Wales.
For business customers, the courts of England and Wales have exclusive jurisdiction.
For consumers, this choice of law does not remove mandatory protections available under the law applicable to your contract. You may bring proceedings in any court available to you under applicable consumer jurisdiction rules.
If a provision is found invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
A delay in enforcing a right does not mean that right has been waived.
We will not transfer a contract in a way that materially reduces your rights or the services you have purchased without your agreement.
These terms, together with the agreed engagement documents or purchase information, record the agreement between us. They do not exclude liability for fraud, remove statutory rights or override information that applicable law makes part of the contract.
